1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Ternion Security website and any related services (collectively, the "Services"). By accessing the Services or submitting information through them, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Early Access Program

Submitting an early access request does not guarantee acceptance, access, or any specific timeline. Ternion Security may, in its sole discretion, accept or decline requests, change program terms, or discontinue the program at any time without notice.

4. Communications and Email

By providing your email address, you consent to receive communications from Ternion Security related to the Services, including product updates, launch announcements, and other information. You may unsubscribe at any time by following the link in any email or by emailing akarmel@ternionsecurity.com.

5. Ternion Security Text Messaging Terms of Use

Ternion Security provides low-volume, one-to-one conversational SMS between Ternion Security employees and people who voluntarily request early access, product information, introductory calls, or pilot discussions.

Consenting to text messaging

By opting in to or using this Text Message Service from Ternion Security, you accept these Terms and Conditions and our Privacy Policy. Consent to receive text messages is voluntary and is not a condition of purchase or use of our services.

Message frequency and costs

Message frequency varies. Msg & data rates may apply.

Opting out of text messages

Reply STOP to unsubscribe. After opting out, no further messages will be sent from that number unless the recipient replies START to resume.

SMS privacy

Platform providers and mobile carriers process information only as necessary to deliver requested messages. They may not use SMS opt-in data or consent for their own marketing or promotional purposes.

Mobile information, including phone numbers, SMS opt-in data, and consent, will not be shared, sold, rented, or disclosed to third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful or fraudulent purpose
• Submit false, misleading, or harmful information
• Attempt to access non-public areas of the Services or interfere with security
• Use automated means to access the Services without permission
• Reverse engineer, decompile, or disassemble any part of the Services
• Infringe the intellectual property or other rights of any party

7. Intellectual Property

All content, branding, software, and materials on the Services are the property of Ternion Security or its licensors and are protected by intellectual property laws. No license or right is granted except as expressly stated in these Terms.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TERNION SECURITY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERNION SECURITY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.

10. Indemnification

You agree to indemnify and hold harmless Ternion Security and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or violation of these Terms.

11. Termination

Ternion Security may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be brought in the state or federal courts located in Delaware, and you consent to that jurisdiction and venue.

13. Changes to These Terms

Ternion Security may revise these Terms at any time by posting an updated version. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
